Dentons Advises Shanghai Sinyang Semiconductor Materials Co., Ltd. on Private Offering of Shares

On April 19, 2016, Shanghai Sinyang Semiconductor Materials Co., Ltd. (Shanghai Sinyang, stock code: 300236) listed its privately offered new shares on the Shenzhen Stock Exchange. Shanghai Sinyang issued 10,721,944 shares at a price of RMB 27.98 per share, raising a total of RMB 299,999,993.12.

A Dentons team advised Shanghai Sinyang on the issue. The team, which included senior partners Shen Linping and Huang Xiamin, associates Jiang Xiangjun and Luo Lizhi, and paralegal Tian Tian, was responsible for project demonstration, due diligence, submitting attorneys’ opinion letter to China Securities Regulatory Commission (“CSRC”), drafting attorneys’ work report, answering CSRC’s requests, and ensuring compliance of the issuing process and subscribers’ qualifications. On December 16, 2015, CSRC approved the company’s application for the stock issue and in April, the issue was successfully completed.
